End User License Agreement

1. Agreement

This End User License Agreement ("EULA") is a legal agreement between you ("User", "you", or "your") and Ikuzi ("Ikuzi", "we", "our", or "us"). By purchasing, downloading, installing, accessing, or using any software, loader, service, or product provided by Ikuzi, you acknowledge that you have read, understood, and agree to be bound by this EULA. If you do not agree with these terms, you must not use our software or services.

2. License Grant

Subject to compliance with this EULA and any applicable payment requirements, Ikuzi grants you a limited, personal, non-exclusive, non-transferable, and revocable license to access and use the software for its intended purpose. This license is provided solely to the original purchaser and does not transfer ownership of the software or any intellectual property rights.

3. License Restrictions

You agree that you will not:

• Copy, reproduce, modify, or redistribute any portion of the software
• Reverse engineer, decompile, disassemble, analyze, or attempt to discover the source code of the software
• Share, sell, rent, lease, sublicense, or transfer your license to another person
• Allow unauthorized users to access your account or software license
• Circumvent, disable, or interfere with security, authentication, or licensing systems
• Use the software in any manner that violates applicable laws or regulations

Any violation of these restrictions may result in immediate termination of your license without refund.

4. Ownership & Intellectual Property

All software, source code, branding, documentation, graphics, updates, and related materials remain the exclusive property of Ikuzi and its licensors. Nothing contained within this EULA grants ownership rights to the user. The software is licensed, not sold.

5. License Duration & Termination

Your license becomes active upon successful purchase, activation, or delivery and remains valid for the duration of your purchased plan unless terminated earlier. Ikuzi reserves the right to suspend or permanently revoke access to any user who violates this EULA, the Terms of Service, or any other applicable policies. Upon termination, all rights granted under this EULA immediately cease and you must discontinue use of the software.

6. Software Updates

Ikuzi may release updates, modifications, security improvements, or changes to the software at any time. We are not obligated to provide updates, maintain compatibility with third-party software, or continue support for any specific feature or version.

7. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, IKUZI DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND CONTINUOUS AVAILABILITY. IKUZI DOES NOT GUARANTEE THAT THE SOFTWARE WILL OPERATE WITHOUT INTERRUPTION, ERROR, OR COMPATIBILITY ISSUES.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IKUZI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO THE USE OF THE SOFTWARE. THIS LIMITATION APPLIES REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF IKUZI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9. Governing Law

This EULA shall be governed and interpreted under the laws of the United States without regard to conflict of law principles. Any dispute arising from or relating to this EULA shall be resolved in a court of competent jurisdiction.

10. Changes to This Agreement

Ikuzi reserves the right to modify, update, or replace this EULA at any time. Continued use of the software following any modification constitutes acceptance of the updated agreement.
